1. Scope
These terms and conditions apply to all contracts concluded via the online shop at blocksocial.eu between BlockSocial UG (haftungsbeschränkt), Kratzmühlstr. 14, 92339 Beilngries, Germany (“we”) and our customers (“you”). Deviating terms of the customer are not accepted unless we expressly agree to them in writing. Our offer is directed at consumers and businesses.
2. Products
We sell digital products, in particular software (e.g. WordPress/WooCommerce plugins, apps and tools), provided by download. The essential characteristics, system requirements, the licence and the scope and duration of updates and support of each product are stated in the respective product description.
3. Conclusion of the contract
The presentation of products in the shop is not a legally binding offer but an invitation to order. You can place products in the cart, enter your details at checkout, select a payment method and correct your entries at any time before submitting the order. By clicking the order button you submit a binding offer to purchase the products in the cart. The contract is concluded when we accept your offer, at the latest by confirming the order by e-mail or by providing the download.
The contract languages are English and German. We store the contract text; you receive the order data and these terms by e-mail. In your customer account you can view your past orders.
4. Prices and payment
Prices for consumers include the statutory VAT. For businesses within the EU with a valid VAT ID, the reverse-charge procedure may apply. The available payment methods are listed on the payment methods page and at checkout. The purchase price is due on conclusion of the contract.
5. Delivery
Digital products are delivered by providing a download link immediately after receipt of payment. The download is available on the confirmation page, by e-mail and in your customer account. There are no shipping costs.
6. Rights of use
The rights of use for each product result from the licence stated in the product description. Where a product is licensed under the GNU General Public License (GPL), the GPL applies to the code; trademarks, names and logos as well as support and update services are not covered by the GPL. For other products you receive a simple, non-transferable right to use the software for your own purposes within the scope stated in the product description.
7. Updates and support
The scope and duration of updates and support offered beyond the statutory requirements are stated in the respective product description. Updates are provided via your customer account and – where available – directly in your WordPress dashboard. For consumers, the statutory update obligation pursuant to Sections 327f et seq. BGB remains unaffected.
8. Right of withdrawal
Consumers have a statutory right of withdrawal; see our cancellation policy. For digital content, the right of withdrawal may expire early once the download has been provided with your consent. You can declare a withdrawal at any time using our electronic withdrawal function.
9. Warranty
The statutory warranty rights apply. For consumers, the provisions on digital products (Sections 327 et seq. BGB) apply. For businesses, the limitation period for claims for defects is one year from provision, except in cases of intent, gross negligence or injury to life, body or health.
10. Liability
We are liable without limitation for intent and gross negligence, for injury to life, body or health, under the Product Liability Act and in the event of assumed guarantees. For slight negligence we are only liable for breach of an essential contractual obligation (cardinal obligation), limited to the foreseeable damage typical for this type of contract. You are responsible for regular backups of your data and for testing updates before using them on live systems.
11. Final provisions
German law applies to the exclusion of the UN Convention on Contracts for the International Sale of Goods. For consumers, this choice of law applies only insofar as the protection granted by mandatory provisions of the law of the country of their habitual residence is not withdrawn. If you are a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction for all disputes is Ingolstadt, Germany. We are neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board.
